These Messaging Terms and Conditions (“Terms”) govern your use of SMS, MMS, and other text messaging services (the “Messaging Service”) offered by Toadfly Technologies, LLC (“Toadfly,” “we,” “us,” or “our”) in connection with our turnaround management software solutions and related services, including IPS, ATOM, ECR, SCOPE, PATHREADY, ILV/IPV, eChart & contractor solutions, training, and support.

By enrolling in or otherwise using our Messaging Service, you agree to these Terms in addition to our main Website Terms and Conditions and Privacy Policy.

1. Program description

1.1 Service scope Our Messaging Service may include, as applicable:

  • Account and service messages: account creation and access, security alerts, password or login notifications, system status updates, and important changes to your Toadfly products or services.
  • Operational and project‑related messages: implementation updates, training reminders, project or turnaround‑related notifications, and other service coordination messages.
  • Transactional and billing messages: invoices, payment confirmations, renewal notices, and similar transactional communications.
  • Occasional informational messages: product updates, feature announcements, and invitations to webinars, training, or events relevant to Toadfly solutions.

Message frequency will vary based on your interactions with us, your account settings, and the specific Toadfly products or services you use.

2. Consent to receive messages

2.1 Direct consent: By providing your mobile number to Toadfly and affirmatively opting in (for example, by checking an opt‑in box on a paper form, submitting a request that includes your mobile number, or responding to an opt‑in message), you consent to receive text messages from us at the number you provided, consistent with these Terms.  You may click here to view the Employee SMS Communication Consent Form – Toadfly Technologies.

2.2 Business contacts and users: If you provide a mobile number on behalf of your organization (for example, as an employee, as a project lead, administrator, or designated contact), you confirm that you are authorized to receive messages related to your organization’s use of Toadfly solutions at that number.

2.3 No bundled consent: Your consent to receive text messages is separate from any other agreements you may have with Toadfly (such as software license agreements, service orders, or website terms). You may withdraw your consent to messaging at any time as described below without affecting your other agreements with us.

 

3. Opt‑out and managing preferences

3.1 How to stop messages: You may opt out of receiving text messages from a Toadfly messaging program at any time by replying STOP to any message you receive from that program. After you send STOP, we will send you a confirmation message and then stop sending further messages from that specific program, unless you opt in again.

Please allow a reasonable time for us to process your request.

3.3 Effect of opt‑out: Opting out of messaging will not affect your ability to use Toadfly software or services, but it may limit our ability to send you certain alerts or updates via SMS/MMS.

5. Message and data rates

Message and data rates may apply to each SMS or MMS message sent or received in connection with our Messaging Service, as determined by your mobile carrier. Toadfly is not responsible for any charges imposed by your carrier. Please contact your mobile carrier for information about your text messaging plan and applicable fees.

6. Eligibility and mobile carrier requirements

  • You must be the account holder or have the account holder’s permission to use the mobile number you provide.
  • The Messaging Service is available only on supported carriers and devices. Availability may vary by carrier and location.
  • Delivery of messages is subject to effective transmission by your mobile carrier and is not guaranteed. Toadfly is not liable for delays or failures in message delivery.
 

7. Acceptable use

You agree that you will not use our Messaging Service to:

  • Provide false or misleading information when enrolling a mobile number.
  • Violate any applicable law or regulation, including those related to privacy, spam, or telecommunications.
  • Interfere with or disrupt the Messaging Service or the networks connected to it.

Our Messaging Service is intended solely for communications related to Toadfly’s software solutions, training, and business services. It is not intended for emergency communications or life‑safety critical alerts.

 

8. Privacy

We use the mobile number and related information you provide to deliver the Messaging Service and to support your relationship with Toadfly (for example, to send account, operational, and service‑related messages). 9. Changes to the messaging service or these terms

We may modify or discontinue the Messaging Service, or update these Terms, from time to time. When we make material changes, we will update the “Last updated” date above and may provide additional notice where appropriate (for example, via our website or a text message).

Your continued use of the Messaging Service after any changes become effective constitutes your acceptance of the revised Terms.

 

10. Disclaimers and limitation of liability

The Messaging Service is provided on an “as‑is” and “as‑available” basis. To the maximum extent permitted by law:

  • No warranties: We make no warranties, express or implied, regarding the availability, accuracy, or reliability of the Messaging Service.
  • No liability for delays or failures: We are not responsible for delays, failures, or mis‑delivery of any messages due to your carrier, network issues, device limitations, or other factors outside our reasonable control.
  • Limitation of damages: In no event will Toadfly be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Messaging Service.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
